Bob Kramich was building Blockchain Made Easy: a platform designed to make blockchain adoption practical for businesses that had been watching the technology from the sidelines. The market timing was right, the product was differentiated, and Bob understood the opportunity. What he needed was the structure, the materials, and the compliance infrastructure to bring that opportunity to investors in a format they could act on.
The Challenge
2020 was a complex year to raise capital in digital assets. The space was still establishing its credibility with institutional investors, and the bar for professional presentation was higher than most founders expected. A pitch deck was not enough. Investors needed a data room they could trust, financial projections they could interrogate, a disclosure document that held up legally, and an organized process they could follow from expression of interest through executed subscription.
BEASY needed a partner who could handle all of it. Not a lawyer, not a banker, not a consultant. A firm that understood both the capital markets requirements and the operational infrastructure of running a clean raise from start to finish.
What Deal Box Built
Deal Box worked with BEASY through both phases of the engagement. Phase 1 built the full investment package from the ground up: a due diligence data room with bank-level encryption and granular access controls, a five-year pro forma financial model built with Bob's team, an investor deck and comprehensive investment brief, a Private Placement Memorandum, and a subscription book.
Phase 2 launched the offering and managed the compliance infrastructure. Deal Box built a company-branded investor portal, disseminated a press release to industry media, issued a Deal Box database announcement to the firm's investor community, and handled the full investor onboarding workflow including AML/KYC compliance and cap table management.
The raise ran through completion. The equity transfer that closed BEASY's round was processed through Vertalo as transfer agent, with Deal Box coordinating the compliance workflow from investor signature through settlement.
