From a blockchain startup with the wrong name to an institutional-grade tokenization company with a raise that matched the ambition.

Christian Barlow and Marc Kenton had built something genuinely hard: a patent-pending dual-chain tokenization system that creates court-recognizable on-chain title for real estate. Their proprietary architecture wraps property deeds in programmable smart contracts, adding automated escrow and cap table continuity. The MVP was live. $1.38M of founder capital was already committed to the build. What they did not have was a name, a package, or a presence that could carry a $14M pre-money valuation conversation with institutional investors.

The Challenge

Quest Crypto was the company's original name. It was not the wrong name because of the word crypto. It was the wrong name because it described nothing. It did not signal the product, the market, the customer, or the problem being solved. When your minimum check size is $50,000 and you are asking sophisticated investors to evaluate a Seed round at a $14M pre-money valuation, the name on the cover of the PPM matters.

Beyond the name, the company needed the full institutional package. The technology was differentiated, but technology alone does not close a Reg D 506(c) round. Investors need a data room, a financial model, a written investment brief, a compliant disclosure document, and an organized platform where all of it lives together. RWAP had none of that yet.

What Deal Box Built

Deal Box started where the investor conversation starts: the name. Quest Crypto became RWAP Technologies Inc. The new name does the work the company needed it to do. Real-World Asset Protocol. Four words that signal the product, the market, and the institutional positioning in the same breath. The name itself became part of the pitch.

From there, Deal Box built the complete investment package. A 28-page investment brief that walks investors through the technology, the market, and the opportunity with the rigor of an institutional-grade document. An investor deck structured for the accredited investor audience RWAP was targeting. A Private Placement Memorandum structured as Series Seed Preferred Equity under Reg D 506(c). The raise was hosted through Deal Box's investor portal, managed on behalf of RWAP, with Deal Box handling the compliance infrastructure while RWAP ran the investor conversations.

Deliverables

  • Strategic rebrand from Quest Crypto to RWAP Technologies Inc
  • 28-page investment brief
  • Investor deck structured for accredited investors
  • Private Placement Memorandum (Series Seed Preferred Equity, Reg D 506(c))
  • Subscription book
  • Investor portal managed by Deal Box (issuer-directed onboarding)
  • Structure and valuation analysis at $14M pre-money

The Rebrand

RWAP also launched a new web presence at wrap.ai as part of the engagement. The name, the website, and the investor package were built to work together. Each touchpoint reinforced the same institutional positioning, so that by the time an investor arrived in the data room, the credibility of the company had already been established.

Deal Box is not a broker-dealer and does not receive transaction-based compensation. The investor portal is provided for issuer-managed onboarding. RWAP's team managed their own investor relationships; Deal Box built and maintained the infrastructure those conversations ran through.

The Outcome

RWAP entered investor conversations as a different company than the one that first came to Deal Box. Not because the technology changed, but because the package around it finally matched the ambition of the raise. The name, the materials, the portal, and the compliance infrastructure were built to hold up under the scrutiny of a Reg D 506(c) accredited investor process.
