The posture

Deal Box operates under Section 4(b) of the Securities Act of 1933 and Section 201(c) of the JOBS Act as an online matchmaking platform for Rule 506(c) accredited investor offerings. Deal Box is not a registered broker-dealer and does not provide investment advice or recommendations. Deal Box charges issuers for technology and advisory services and takes no transaction-based compensation from anyone. Securities offered by issuers on the platform are available to verified accredited investors only, and any offer is made solely through the issuer's own offering documents. Accreditation verification is conducted at the issuer level before any offering materials become available. Private investments involve a high degree of risk, including illiquidity and complete loss of capital. Past performance does not guarantee future results.

How Deal Box is compensated

Deal Box charges issuers for technology subscriptions and advisory services. Deal Box does not charge investors any fee of any kind, does not receive commissions, and does not receive compensation contingent on the outcome or size of any offering.

What Deal Box does not do

Deal Box does not recommend or endorse any offering, does not provide investment, legal, or tax advice, does not hold customer funds or securities, and does not negotiate the terms of any transaction. Offering documents come from the issuer, and subscription decisions are made solely between the investor and the issuer.

Issuer diligence

Every offering listed on the platform completes issuer-level diligence to the Deal Box packaging standard before going live. Diligence is a documentation discipline, not an endorsement, and it does not reduce the risks inherent in private investments.

Accreditation verification

Offerings conducted under Rule 506(c) require that all purchasers be verified accredited investors. Verification is conducted at the issuer level as part of each offering's process, before offering materials become available.
