What goes in the data room?

Financials, contracts and the cap table, in folders you name: financials, legal, customers, product, whatever your raise needs. Drop files in, pull the whole room out, and search it.

Who can see my files?

You choose. Make the whole room public to anyone with the link, or make investors ask first and approve them from one list. Each file also decides on its own: the deck can be open to everyone while the cap table waits for your approval.

What does Qualified access mean?

One thing: the investor signed your NDA and you signed it back. Until then, nothing opens. The signed NDA is the key, so there are no separate permissions to manage.

Can I see who opened what?

Yes. Either way, public or qualified, you see how many got in, who they were, and which files they opened.

What is the 121-folder standard?

The order every Deal Box room follows, sections A through L: how the company is formed, who owns what, its financial statements, its major contracts, its intellectual property, and the offering documents. An investor who has read one Deal Box room can read them all. An offering lists on Deal Box only after its record is complete.

Do I have to fill the room myself?

On Pro you bring your files and the folders are yours. On Packaging, Deal Box fills the room with you: you bring the files, and the standard says where each one goes.
