The company

Chris Gurerri, CEO

Victory Innovations makes cordless and electrostatic sprayers for disinfecting, odor control, pest control and fertilization. The US market for disinfectant spraying devices was a $500 million-plus opportunity, and the products in it were corded: slow, awkward, a tripping hazard, and expensive. Victory had a patent-pending delivery system and its own lithium-ion battery technology to build the first cordless sprayers for the job.

The challenge

The challenge

Victory needed capital to cover manufacturing and ramp up sales. The team was proven, founded by people who had been part of the turnaround at Hoover and the success of DeWalt Power Tools, and the product line stood apart. The company went looking beyond the usual sources for the money.

What Deal Box built

What Deal Box built

Deal Box ran its investment packaging process and restructured the shares for a direct offering. The offering was made under Rule 506(c), which lifted the ban on general solicitation, so Victory could put it in front of the public, its own customers and anyone else interested, with every investor verified as accredited before buying.

The package set out Victory's value proposition in the form investors expected to see it, with the strategy for the raise built alongside.

The outcome

The outcome

Victory closed an $800,000 seed round. The capital ramped up sales, steadied cash flow and brought more investor and media attention. The company built a strong broker network, secured key utility patents for its current and future products, and began designing products for other industries on the strength of the first line.
